Terms of Use

These Terms of Use (“Terms”) apply to the website blckswnstd.com (the “Site”) and to all orders placed with UBQTS, LLC d.b.a. Black Swan Studio (“BlackSwan”, “we”, “us”). By using the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site.

1. Quotes and proofs

• Quotes are free and are valid for 30 days unless we say otherwise. Prices on the Site are starting prices; your final price is confirmed in your quote.
• For custom work we send a digital proof (mockup) before production. Please check spelling, colors, size and placement carefully. Once you approve a proof, we produce exactly what was approved.
• Changes requested after approval may add cost or time.
• A digital proof is a close representation. Thread colors, stitch texture and size can vary slightly from what you see on screen.

2. Orders and payment

• An order is confirmed when you approve the proof and we receive payment (or an agreed deposit). We send a secure payment link or invoice through a third-party payment processor; we never ask for card details by email or on this Site.
• Production timelines start after approval and payment. Turnaround estimates (currently 7–10 business days, rush 3–5 business days where available) are good-faith estimates, not guarantees. Seasonal “order-by” dates are recommendations.
• Discount codes cannot be combined unless stated, have no cash value, and may be withdrawn at any time. “Complimentary digitizing” applies only to qualifying orders at our discretion, based on design complexity and quantity.
• Volume pricing on the Site covers embroidery (decoration) only unless stated. Garments and items are quoted separately. Orders of 100+ pieces are quoted individually.

3. Customer-supplied artwork and garments

• By sending us a logo, image, text or other artwork, you confirm that you own it or have permission to use it, and that it does not infringe anyone else’s trademark, copyright or other rights.
• We may decline any design, including copyrighted characters, sports or brand logos you are not authorized to use, and content we consider offensive or unlawful.
• You agree to indemnify BlackSwan against claims arising from artwork or text you provide.
• If you supply your own garments, embroidery carries a small risk of damage (for example to delicate, stretchy or coated fabrics). We take care, but we are not responsible for customer-supplied items beyond the embroidery charge for that item.

4. Our designs and digitized files

All designs, photos, text and stitch files created by BlackSwan, including the Cordoba, bonbon, trucksé, Ghar and Closet collections, remain our intellectual property. A purchase gives you the physical item, not the right to reproduce the design. Digitized files made from your own logo are kept on file for your reorders. If you purchased a “digitizing only” service, you receive the stitch file for your own use.

5. Cancellations, returns and remakes

• You may cancel free of charge before you approve the proof. After approval, materials and work already completed may be charged.
• Personalized and custom items are made just for you, so we cannot accept returns or exchanges for change of mind, wrong size ordered or approved spelling errors.
• If we made a mistake compared to your approved proof, or an item arrives damaged or defective, contact us within 14 days of delivery with photos. We will repair, remake or refund that item at our choice.
• Ready-made, non-personalized items may be returned unused within 14 days of delivery; return shipping is paid by the customer.

6. Shipping and pickup

We ship within the United States. Risk of loss passes to you when the carrier receives the package. We are not responsible for carrier delays, but we will help you file a claim for lost or damaged parcels. Local pickup in Virginia may be arranged.

7. Care

Embroidered items should be washed cold, inside out, and ironed on the reverse. We are not responsible for damage caused by bleach, high heat or not following care instructions.

8. Use of the Site

You may use the Site for personal, lawful purposes. You may not copy our photos or designs, scrape the Site, attempt to disrupt it, or submit false or harmful content through our forms. Content you tag or share with us on social media (for example with @blckswnstd) may be reposted by us with credit.

9. Disclaimer and limitation of liability

The Site is provided “as is”. To the fullest extent permitted by law, BlackSwan’s total liability for any claim relating to an order is limited to the amount you paid for that order, and we are not liable for indirect or consequential losses. Nothing in these Terms limits rights you have under consumer protection law that cannot be waived.

10. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, USA. Any dispute will be handled in the state or federal courts located in Virginia, unless the law requires otherwise.
